Agreement to Terms

By engaging NorthForge Studios LLC (“Company,” “we,” “us”), accessing our services, or approving any project proposal, you agree to these Terms of Service in full. If you do not agree, you may not use our services.

These Terms override any conflicting client agreements unless explicitly agreed to in writing by an authorized representative of the Company.

Services Scope

We provide creative and digital services including:

Graphic design
Website design and development
Video production and editing
Content marketing and branding services

All services are strictly limited to the scope defined in a signed proposal, invoice, or statement of work (“SOW”). Any work not explicitly listed is excluded and will require additional billing.

We reserve the right to refuse or discontinue services at any time.

No Partnership or Employment Relationship

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship. The Company operates as an independent contractor at all times.

Client Obligations (Strict Compliance)

The client agrees to:

Provide all required materials, approvals, and feedback in a timely manner
Ensure all submitted content is legally owned or properly licensed
Assume full responsibility for accuracy of provided information
Respond within reasonable timeframes defined by the project schedule

Delays caused by the client automatically extend deadlines without penalty to the Company.

We are not responsible for missed deadlines resulting from client inactivity.

Payment Terms (Strict Enforcement)
All payments are non-refundable unless explicitly stated otherwise in writing
A non-refundable deposit may be required before any work begins
Work may be paused or terminated if payments are late
Final deliverables will not be released until full payment is received
Late payments may incur additional fees of up to 5% per week overdue (or maximum allowed by law)

Failure to pay constitutes breach of contract.

6. Revisions and Scope Limits

All projects include only the number of revisions explicitly stated in the SOW.

Additional revisions, strategy changes, redesigns, or direction shifts are considered out-of-scope work and will be billed at our standard or premium hourly rate.

We reserve sole discretion in determining what constitutes a revision vs. new work.

7. Cancellations and Termination

We may terminate any project at any time for any reason, including (but not limited to):

Non-payment
Scope abuse or excessive revision requests
Unprofessional or hostile communication
Project inactivity

If a project is canceled or terminated:

All completed work up to termination must be paid in full
Deposits are strictly non-refundable
All rights remain with the Company until full payment is received
Work-in-progress may be withheld indefinitely until payment is resolved
8. Intellectual Property (Strong Protection)
1 Ownership Before Payment

All designs, concepts, drafts, code, strategies, files, and materials remain exclusive property of NorthForge Studios LLC until full payment is received.

No rights, licenses, or usage permissions are granted prior to full payment.

2 Ownership After Payment

Upon full payment:

The client receives a non-exclusive, non-transferable license to use final delivered assets only for the agreed business purpose
The Company retains ownership of all underlying methods, processes, templates, frameworks, and unused concepts
3 Restrictions

Clients may NOT:

Resell, redistribute, or sublicense deliverables
Claim authorship of design systems or underlying work processes
Modify or reuse rejected concepts without written permission
Use drafts or unpaid work in any form
Portfolio Rights (Irrevocable License)

Unless explicitly agreed otherwise in writing:

We retain perpetual rights to display, reproduce, and showcase all work
This includes websites, branding, videos, and concepts (including unpublished drafts where appropriate)
Portfolio use applies globally and across all media formats
10. Third-Party Tools and Platforms

We may utilize third-party software, hosting, plugins, AI tools, or platforms.

We are not responsible for:

Downtime
Data loss
Security breaches
Pricing changes
Policy updates of third-party providers

All third-party risks are assumed by the client once delivered or deployed.

11. No Guarantees or Warranties

All services are provided “as-is” and “as-available.”

We make no guarantees regarding:

Revenue increases
Sales performance
Marketing reach
Search engine rankings
Business outcomes

All strategic or creative advice is non-binding and for informational purposes only.
